1. Who we are and how this agreement works

nexISP is a service provided by Mónica Lili Ullauri Toral (Tax ID/RUC 0103899894001), Presidente Córdova y Gral. Torres, Cuenca, Ecuador. In this document we call it "nexISP" or "we", and you "the Customer". You can write to us at any time at info@nexisp.net.

These terms are the agreement between you and us. You accept them when you create your account, start the free trial or use the platform. If you sign up on behalf of a company, we understand you are authorised to accept them on its behalf.

2. What we offer

nexISP is cloud software designed for Internet Service Providers (ISPs). It helps you manage your subscribers, billing and collections, your network and equipment, and customer support in one place. There is nothing to install: you use it from your browser.

We are always improving the platform, so over time we add, change or retire features. If a change were to materially reduce what you subscribed to, we will let you know in advance.

3. Your account

To use nexISP you need an account with accurate, up-to-date information, and you must be of legal age. You decide who on your team has access, so please keep passwords safe and tell us right away at info@nexisp.net if you think someone got in without permission. You are responsible for what happens under your account and your users' accounts.

4. The free trial

Plans may include a free trial for the number of days shown on our website, so you can try the system with peace of mind before deciding. When the trial ends, you need to choose a plan to keep going. If you don't, the account is suspended and your data is kept as explained in section 9.

5. Prices and payment methods

Prices are in United States dollars (USD) and you will always see them before subscribing. Any applicable taxes are itemised on your invoice. You can pay with the methods available on the platform, such as PayPal or Pagomedios.

If we ever change a price, we will notify you at least 30 days in advance, and the new amount will only apply from your next renewal.

6. Automatic renewal

Your subscription is monthly and renews automatically: at the start of each month your plan price is charged so the service is not interrupted. We will email you before each charge. You can cancel the renewal whenever you want, from your account or by writing to info@nexisp.net.

7. Cancellation and refunds

You can cancel at any time, with no penalties. When you do, your service keeps working until the last day of the period you already paid for and you are not charged again.

Because we offer a free trial to get to know the system before paying, payments made are non-refundable, in full or pro rata, unless applicable law provides otherwise.

8. If a payment fails

If we cannot collect a payment, we will write to let you know and you will have a grace period to catch up. If the payment is still pending after that, access to the platform is suspended until it is settled; as soon as you pay, it is reactivated. If the debt remains, the account may be cancelled and your data handled as described in section 9.

9. Your data and your subscribers' data

All the information you upload to nexISP —subscribers, invoices, network data and so on— belongs to you. Towards your subscribers you are the controller of that data; we act as a data processor, which means we only use it to provide the service, we protect it with security and confidentiality measures, and we never sell it or pass it on to third parties.

If you cancel your account, you will have 90 days to export your information or ask us for a copy at info@nexisp.net. After that we delete it, except for anything the law requires us to keep (for example, billing records). How we handle the personal data of our own visitors and customers is explained in the Privacy Notice.

10. Responsible use of the platform

We ask you to use nexISP lawfully and responsibly. In particular, you may not use it for unlawful activities or spam, infringe other people's rights, try to access other customers' information, put the security or operation of the system at risk, copy or decompile the software, or resell access without our permission. In case of a serious breach, we may suspend the account to protect other users.

11. Intellectual property

The software, the nexISP brand and the content of this site belong to their owner. While your subscription is active you have a licence to use the platform: it is for your company, non-exclusive and cannot be transferred to others.

12. Service availability

We do everything reasonable to keep nexISP available and secure, and we make regular backups. Even so, interruptions may happen due to scheduled maintenance, third-party failures (data centres, networks, payment gateways) or force majeure. When maintenance is planned, we will try to let you know in advance.

13. Warranties and limits of liability

To the extent the law allows, we provide the service "as is" and "as available", without implied warranties of merchantability or fitness for a particular purpose. We are not liable for indirect damages, lost profits or data loss caused by misuse of the account.

In any case, our total liability is limited to the amount you paid us in the 12 months before the event giving rise to it. Nothing here limits rights that the law of your country does not allow to be excluded.

14. If you are in the United States

Before you subscribe we clearly tell you the price, that the subscription renews automatically every month, how to cancel online and that there are no refunds (sections 5 to 7). You can cancel the renewal at any time from your account or by email. These terms do not limit the rights granted to you by the laws of your state.

15. Changes to these terms

We may update these terms when the service or the law changes. If a change is significant, we will notify you by email or within the platform at least 15 days in advance. If you disagree with the new version, you can cancel before it takes effect.

16. Governing law and jurisdiction

This agreement is governed by the laws of the Republic of Ecuador. If a dispute arises, we will first try to resolve it in good faith by talking with you; if that is not possible, it will be submitted to the competent courts of Cuenca, Ecuador, without prejudice to the mandatory consumer rights granted by the law of your place of residence.
